Terms of Service

Interactive Physics and Working Model 2D on the web

These terms apply only to the web versions of Interactive Physics and Working Model 2D (the “Service”), provided by Design Simulation Technologies, Inc. (“DST”, “we”, “us”), 43311 Joy Road, #237, Canton, MI 48187, USA. DST’s desktop products, including SimWise and the desktop versions of Interactive Physics and Working Model 2D, are governed by the DST End User License Agreement (“EULA”), not by these terms. Purchases of the Service are also subject to DST’s Terms and Conditions of Sale (“Terms of Sale”).

By using the Service you agree to these terms. If you use the Service for a school or other organization, you agree to them for that organization and confirm you may do so.

1. Who may use the Service

You may use the Service with a valid license (section 3). Students may use it under a license their school holds. A school that lets students under 13 use the Service is responsible for obtaining any consent the law requires (including under COPPA and FERPA), as our Privacy Policy describes.

2. Signing in

You sign in with an account from Google or Microsoft. You are responsible for what is done with your account. Tell us at once if you think someone else is using it.

3. Licenses

The Service is not free to use. It is available under:

  • Evaluations: a free, time-limited license we issue on request, only for evaluating the capabilities and performance of the Service. An evaluation may not be used for production or actual work-related activities.
  • Not-for-resale licenses: issued by DST at its discretion, for the purpose and period stated when issued.
  • Purchased licenses: for an individual, or a pack of seats for a school, for the term stated on the order (normally one year). A school’s license administrators assign seats to their teachers and students, and may hand the license over to another administrator.

A license lets the named users use the Service during its term. It may not be shared beyond its seats, resold, or transferred except as the Service itself allows. When a license ends, the Service stops opening models for its users; models already saved in their own storage remain theirs.

Educational and student licenses. A license issued under educational or student pricing, or otherwise designated as educational or student, may not be used for production, work-related or commercial purposes, or for any funded research activities, without DST’s prior written permission.

4. Fees, renewal and cancellation

Prices, terms and payment methods are those on your order or invoice. All sales are final as set out in the Terms of Sale: fees are not refundable, except as provided in section 9. We may change prices for new orders and renewals; a change does not affect a term you have already paid for.

Purchased licenses renew as stated on your order and in the Terms of Sale. You may cancel at any time; cancellation takes effect at the end of the current term, and you keep access until then. No partial refunds are given for cancellation.

5. Your models and files

Models you make are yours. The Service runs in your browser: models are kept on your device, or in your own Google Drive or OneDrive when you save them there. When you connect Google Drive or OneDrive, the Service asks only for access to the files you open or save with it, and uses that access only to open and save them. We do not keep copies of your files on our servers. Google’s and Microsoft’s own terms apply to your use of their services.

6. Acceptable use

You will not: copy, modify, reverse engineer or decompile the Service except as the law allows; work around its licensing; use it to break the law or infringe others’ rights; or interfere with its operation or other users.

7. Our content and intellectual property

The Service is licensed, not sold, to you. Title, copyright and trade secrets in the Service, including its software, curriculum, experiments, help and other content, and any copies made by you, remain with DST and its licensors, including but not limited to MSC Software Corporation (“MSC”). You understand and agree that DST may integrate software licensed from its licensors and MSC’s licensors with the Service, and that your license does not include, and you are expressly prohibited from using, the integrated software independently of the Service. DST and MSC reserve all rights not expressly granted to you by these terms. You acknowledge that the Service and its documentation are copyrighted works protected by federal and international copyright laws, including the U.S. Copyright Act of 1976, as amended, and you will not take any action that would infringe the copyrights, intellectual property rights or other proprietary rights of DST or its licensors. Within your license you may use the curriculum and experiments, and adapt them, for teaching and learning, including sharing copies with your own students. You may not remove any proprietary notices, labels or marks.

Interactive Physics and Working Model 2D are either trademarks or registered trademarks of The MSC.Software Corporation in the United States and/or other countries. All other trademarks are the property of their respective owners.

8. Privacy

Our Privacy Policy explains what information the Service uses and how.

9. Changes to the Service

We improve the Service and may change or remove features. If we stop providing the Service, we will give license holders reasonable notice and refund, pro rata, the unused part of any prepaid license term. This is the only refund available under these terms.

10. Ending your use

You may stop using the Service at any time; this does not cancel or refund a paid term (see section 4). We may suspend or end access for anyone who breaks these terms, after notice where reasonable.

11. Technical support

Technical support for the Service, including who is eligible, what it covers and excludes, and how to request it, is provided as described in the “Technical Support” section of the Terms of Sale (design-simulation.com/corporate/salestc.php). Support requests should be sent to support@design-simulation.com.

12. Disclaimer

The Service is a teaching and learning tool. Simulation results are approximations and are not a substitute for engineering analysis or testing. Except as the law requires, the Service is provided “as is”, without warranties of any kind, including fitness for a particular purpose.

13. Limitation of liability

To the extent the law allows, DST is not liable for indirect, incidental or consequential damages, or lost data or profits, and DST’s total liability for any claim about the Service is limited to the fees paid for the license term concerned.

14. Indemnities

DST will indemnify you and your organization for any claims brought by a third party that the Service infringes any U.S. copyright, U.S. patent or U.S. trade secret of that third party. You and your organization agree to indemnify DST against any third-party claims for personal injury or property damage arising out of or resulting from the use you make of the Service. These indemnity obligations are conditioned on the indemnified party notifying the indemnifying party promptly in writing of the claim, giving the indemnifying party sole control of the defense and any related settlement negotiations, and cooperating and, at the indemnifying party’s request and expense, assisting in the defense.

15. U.S. Government use

The Service is a “commercial item” as that term is defined at FAR 2.101, consisting of “commercial computer software” and “commercial computer software documentation” as those terms are used in 48 C.F.R. 12.212, and is provided to the U.S. Government only as a commercial end item. Consistent with FAR 12.212 and DFARS 227.7202, all U.S. Government end users acquire the Service with only the rights set forth in these terms.

16. Export law

The Service and related technology are subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree to comply strictly with all such laws and regulations, and acknowledge that you are responsible for obtaining any licenses to export, re-export or import that may be required. You will indemnify and hold DST harmless from any and all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including attorney’s fees) arising from or relating to any breach by you of your obligations under this section. These obligations survive the end of your license.

17. Governing law and venue

These terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-law rules. The 1980 United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising under these terms is subject to the exclusive jurisdiction of the state and federal courts located in Michigan. Where a public school or agency’s own law requires a different governing law or venue, that law and venue apply to its license.

18. Order of precedence and general

These terms, together with the documents listed in this section, are the complete statement of the agreement between you and DST about the Service, and are not modified by the terms of any purchase order or other document issued by you unless they are in a Master License or agreed to in writing by DST. If these documents conflict, the following order applies, highest first: (1) a DST software license agreement signed by both parties (a “Master License”); (2) your DST quote, order or invoice, to the extent it states products, quantities, prices, term or payment terms; (3) these terms; (4) the Terms of Sale; (5) the Privacy Policy, which governs the handling of personal information.

If any provision is found illegal, void or unenforceable, the rest remain in effect. DST’s licensors are third-party beneficiaries of these terms and, to the extent applicable, may enforce them in addition to DST. A party’s failure to require performance of any provision does not affect its right to require it later, and a waiver of a breach is not a waiver of the provision itself. You may not assign these terms or any rights or obligations under them without DST’s prior written approval.

19. Changes to these terms

We may update these terms. We will post the new version here with its “Last updated” date. We will tell license administrators of material changes by email at least thirty (30) days before they take effect. A change does not affect a license term you have already paid for; it applies from your next renewal.
